1. INTRODUCTION

These Terms and Conditions ("Terms") govern your use of System Setter's lead capture automation services (the "Services") provided by System Setter, operating from Ireland.

By using our Services, you agree to these

Terms in full. If you disagree with any part of these Terms, you must not use our Services.

2. DEFINITIONS

"We," "Us," "Our" – System Setter

"You," "Your," "Client" – The business subscribing to our Services (e.g., plumber, electrician, tradesperson)

"Services" – Our lead capture automation system including website hosting, CRM, WhatsApp integration, AI chatbot, review management, and local SEO

"Platform" – GoHighLevel (GHL), the third-party software platform on which our Services are built

"End Customer" – Your customers/leads who contact you through our system

"Account" – Your System Setter subscription and access to the Services

"Content" – Any data, text, images, logos, or other materials you provide to us


3. SERVICE DESCRIPTION

System Setter provides a comprehensive lead capture and customer management system for Irish residential home service businesses, including:

3.1 Core Services:

Professional multi-page website (hosted and maintained)

AI-powered chatbot for 24/7 lead capture

Contact forms with automated responses

Click-to-call functionality with missed call automation

WhatsApp Business integration

CRM system via Lead Connector mobile app

Automated review generation system

Repeat business campaigns

Local SEO and directory listings (60+ platforms)

3.2 Service Availability:

Our Services are available 24/7 subject to scheduled maintenance

We aim for 99.5% uptime but cannot guarantee uninterrupted access

We will notify you of planned maintenance where possible

3.3 Platform Dependency:

Our Services are built on GoHighLevel. Any changes, downtime, or issues with the GHL platform may affect our Services. We are not liable for disruptions caused by GHL.


4. ACCOUNT REGISTRATION & ELIGIBILITY

4.1 Eligibility:

You must:

Be at least 18 years old

Operate a legitimate business in Ireland (or approved jurisdiction)

Have authority to bind your business to these Terms

Provide accurate and complete registration information

4.2 Account Security:

You are responsible for:

Maintaining confidentiality of login credentials

All activities under your account

Notifying us immediately of unauthorized access

Using strong, unique passwords

4.3 One Account Per Business:

Each business may only maintain one active System Setter account unless otherwise agreed in writing.


5. SUBSCRIPTION & PRICING

5.1 Subscription Plans:

Founding Client Plan (First 10 Clients Only):

€349/month

No setup fee

Lifetime pricing lock (rate never increases)

All core features included

Standard Plan (After First 10 Clients):

€449/month (subject to change for new clients)

No setup fee

All core features included

5.2 Billing:

All subscriptions are billed monthly in advance

Payments are processed on the same day each month (your "billing date")

Accepted payment methods: Credit/debit card via Stripe

Failed payments may result in service suspension

5.3 Price Changes:

Founding Clients: Your €349/month rate is locked for life

Standard Clients: We reserve the right to increase prices with 60 days' written notice

Price increases do not apply retroactively

If you do not accept a price increase, you may cancel before it takes effect

5.4 Taxes:

All prices are exclusive of VAT (currently 23% in Ireland)

VAT will be added to your invoice where applicable

You are responsible for any additional taxes in your jurisdiction


6. FREE TRIAL (IF OFFERED)

If we offer a free trial:

Trial period is clearly stated at signup (typically 7-14 days)

Full Services are available during trial

No payment required during trial period

You may cancel anytime during trial with no charge

After trial ends, subscription automatically begins unless cancelled

You will be notified 48 hours before trial ends


7. SERVICES SETUP & ONBOARDING

7.1 Onboarding Process:

Upon signup, we will:

Schedule a kickoff call (30 minutes)

Send an onboarding form to collect business information

Build your custom website (2-4 business days)

Configure all system integrations

Provide training session (45-60 minutes)

Launch your system live

7.2 Your Responsibilities:

You must:

Provide accurate business information promptly

Supply branding materials (logo, photos, descriptions)

Attend scheduled onboarding calls

Complete any required third-party integrations (e.g., WhatsApp Business setup)

Review and approve your website before launch

7.3 Timeline:

Standard onboarding: 5-7 business days from information received

Delays caused by missing information from you do not extend onboarding guarantees


8. WHATSAPP MESSAGING TERMS

8.1 WhatsApp Integration:

Our Services include WhatsApp Business API integration for:

Missed call automation (auto-replies when you miss a call)

Lead notifications

Review requests

Repeat business campaigns

Customer communication

8.2 Messaging Consent:

By using our WhatsApp features, you confirm that:

You will only message customers who have consented to receive messages from your business

You will comply with WhatsApp Business policies

You will not send spam or unsolicited messages

You understand WhatsApp's messaging limits and policies

8.3 Message Frequency:

Message frequency varies based on:

Incoming leads (notifications sent instantly)

Scheduled campaigns (review requests, seasonal reminders)

Your business activity

8.4 End Customer Opt-Out:

Your end customers may opt out of WhatsApp messages by:

Replying "STOP" to any automated message

Blocking your WhatsApp Business number

Contacting your business directly

You must honor all opt-out requests immediately.

8.5 WhatsApp Costs:

WhatsApp integration costs €9/month per client (included in subscription)

WhatsApp messages to/from customers are free for you and your customers

Standard mobile data rates may apply for customers using mobile data

8.6 WhatsApp Policy Violations:

If your WhatsApp Business account is banned or restricted due to policy violations (spam, inappropriate content, etc.), we are not responsible. You may lose access to WhatsApp features but remain liable for your full subscription fee.

8.7 Compliance:

You must comply with:

9. CONTENT & DATA

9.1 Your Content:

You retain ownership of all content you provide (business name, logo, photos, descriptions, etc.).

By providing content, you grant us a non-exclusive, worldwide, royalty-free license to:

Use, store, and display your content as necessary to provide the Services

Back up your content for disaster recovery

Modify content as necessary for technical compatibility

9.2 Content Restrictions:

You must not upload or transmit content that:

Is illegal, defamatory, obscene, or offensive

Infringes third-party intellectual property rights

Contains malware or malicious code

Violates any applicable laws or regulations

Impersonates another person or business

9.3 End Customer Data:

You are the Data Controller of your end customer data (leads, contacts)

System Setter is the Data Processor

You must comply with GDPR and Irish Data Protection Act 2018

You must have a lawful basis to collect and process customer data

You must provide your customers with appropriate privacy notices

9.4 Data Backup & Loss:

We perform regular automated backups

We are not responsible for data loss caused by your actions (accidental deletion, account closure)

You should export your data regularly

We recommend maintaining your own backup of critical business data


10. ACCEPTABLE USE POLICY

10.1 Prohibited Uses:

You must NOT use our Services to:

Send spam, unsolicited messages, or bulk marketing without consent

Violate any laws or regulations

Infringe intellectual property rights

Transmit malware, viruses, or harmful code

Harass, abuse, or harm others

Impersonate another person or business

Engage in fraudulent activity

Scrape or harvest data without permission

Overload or disrupt our infrastructure

Resell or sublicense our Services without written permission

10.2 Monitoring:

We reserve the right to monitor your use of the Services to ensure compliance with these Terms. We may investigate suspected violations.

10.3 Enforcement:

If you violate this policy, we may:

Issue a warning

Temporarily suspend your account

Terminate your account immediately

Report violations to authorities

Pursue legal action


11. INTELLECTUAL PROPERTY

11.1 Our IP:

System Setter, our logo, website designs, system templates, and all related intellectual property are owned by us or licensed to us. You may not:

Copy, modify, or reverse engineer our Services

Use our trademarks without written permission

Remove proprietary notices from our materials

11.2 Website Templates:

Your website is built using our proprietary templates. You receive a license to use the website for your business while subscribed to our Services. Upon cancellation, this license terminates.

11.3 Third-Party IP:

GoHighLevel, WhatsApp, Google, and other integrated services are owned by their respective owners. Use of these services is subject to their terms and conditions.


12. SUPPORT & MAINTENANCE

12.1 Support Included:

All subscriptions include:

Email support (response within 24 hours on business days)

WhatsApp support (response within 12 hours on business days)

Access to knowledge base and tutorials

System updates and bug fixes

Business Days: Monday-Friday, 9am-6pm Irish Time (GMT/IST), excluding Irish public holidays

12.2 Priority Support (Optional Add-On):

For €97/month additional:

Response within 4 hours

Weekend support

Priority queue for all requests

Monthly check-in calls

12.3 Maintenance:

We perform regular maintenance including:

Security updates

Platform upgrades

Feature improvements

Bug fixes

Planned maintenance is typically performed outside business hours with advance notice where possible.

12.4 What's NOT Included:

Support does not include:

Custom development or coding

Third-party service issues (GHL, WhatsApp, Google downtime)

Issues caused by your modifications or misuse

Training beyond initial onboarding (additional training available for fee)


13. SERVICE LEVEL & UPTIME

13.1 Uptime Target:

We aim for 99.5% uptime excluding scheduled maintenance.

13.2 No Guarantee:

We do not guarantee uninterrupted service. Downtime may occur due to:

Scheduled maintenance

GoHighLevel platform issues

Third-party service disruptions (WhatsApp, Google, etc.)

Force majeure events

Security incidents

13.3 No Refunds for Downtime:

We do not provide refunds or credits for service interruptions unless they exceed 72 consecutive hours and are caused solely by our negligence.


14. LIMITATION OF LIABILITY

14.1 Service "As Is":

Our Services are provided "as is" without warranties of any kind, express or implied, including:

Merchantability

Fitness for a particular purpose

Non-infringement

Uninterrupted or error-free operation

14.2 No Guarantee of Results:

We do not guarantee:

Specific number of leads or customers

Increased revenue or business growth

Search engine rankings

Google review quantities

Specific ROI or business outcomes

14.3 Limitation of Damages:

To the maximum extent permitted by Irish law, our total liability for any claim arising from your use of the Services is limited to the amount you paid us in the 3 months immediately preceding the claim.

14.4 Excluded Damages:

We are not liable for:

Lost profits, revenue, or business opportunities

Loss of data (except as caused by our gross negligence)

Indirect, incidental, special, or consequential damages

Third-party claims

Damages caused by your breach of these Terms

14.5 Exceptions:

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence

Fraud or fraudulent misrepresentation

Any liability that cannot be excluded under Irish law


15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless System Setter, our affiliates, and our personnel from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Services

Your violation of these Terms

Your violation of any laws or regulations

Content you provide

Your interactions with end customers

Your breach of third-party rights (IP, privacy, etc.)

GDPR violations in your customer data handling


16. CANCELLATION & TERMINATION

16.1 Cancellation by You:

You may cancel your subscription at any time by:

Written notice via your account dashboard

Notice Period: 30 days written notice required

Effective Date: Cancellation takes effect at the end of your current billing period

No Refunds: No refunds or pro-rata credits for unused time

16.2 Termination by Us:

We may terminate your account immediately if:

You breach these Terms

You violate our Acceptable Use Policy

Your payment fails and remains unpaid for 14 days

You engage in fraudulent activity

We are required by law to terminate

Your use poses a security or legal risk

16.3 Effect of Termination:

Upon termination:

Your access to the Services stops immediately

Your website goes offline

All automations and integrations cease

Your data is deleted within 30 days (you should export beforehand)

You remain liable for any outstanding fees

These Terms survive where applicable (IP, liability, indemnification)

16.4 Data Export:

Before cancellation:

Export your customer data from the CRM

Download any content you want to keep

We will assist with data export upon request (must be requested before cancellation)

After 30 days, all data is permanently deleted


17. REFUND POLICY

17.1 No Refunds:

All subscription fees are non-refundable except as follows:

17.2 Exceptions:

14-Day Money-Back Guarantee (First-Time Clients Only):

If you are unsatisfied within 14 days of your first payment

You must notify us in writing within 14 days

Full refund of your first month's payment

Your account will be cancelled

Does NOT apply to add-on services (Google Ads, etc.)

Service Not Delivered:

If we fail to deliver the Services within 30 days of payment through our fault (not your delays)

Full refund of setup/first month fees

17.3 Disputed Charges:

If you believe you were charged incorrectly:

Contact us within 30 days of the charge

Provide details of the disputed charge

We will investigate and respond within 10 business days


18. MODIFICATIONS TO SERVICES

18.1 Service Updates:

We may add, modify, or discontinue features at any time. We will:

Notify you of material changes

Provide reasonable notice before removing features

Not remove core features that are central to the value proposition

18.2 Changes to Terms:

We may update these Terms at any time. Changes will be effective:

Immediately for new users

30 days after notice for existing users

Notification:

Email to your registered address

Prominent notice on website

Your Options:

Continued use constitutes acceptance

If you disagree, you may cancel before changes take effect


19. CONFIDENTIALITY

19.1 Confidential Information:

Both parties agree to keep confidential any non-public information disclosed during the relationship, including:

Business strategies and plans

Customer lists and data

Pricing and financial information

Technical information and trade secrets

19.2 Exceptions:

Confidentiality does not apply to information that:

Is publicly available

Was known before disclosure

Is independently developed

Must be disclosed by law

19.3 Duration:

Confidentiality obligations survive termination for 3 years.


20. DISPUTE RESOLUTION

20.1 Informal Resolution:

Before initiating any formal proceedings, you agree to:

20.2 Governing Law:

These Terms are governed by the laws of Ireland.

We may agree to mediation or arbitration as an alternative to court proceedings.


21. THIRD-PARTY SERVICES

21.1 Third-Party Integrations:

Our Services integrate with third-party platforms including:

GoHighLevel (CRM platform)

WhatsApp Business API (messaging)

Google Services (Analytics, Business Profile, SEO)

Stripe (payment processing)

Various directory listing services

21.2 Third-Party Terms:

Your use of these integrated services is subject to their respective terms and conditions. We are not responsible for:

Third-party service availability or performance

Changes to third-party pricing or policies

Third-party data breaches or security issues

Disputes between you and third-party providers

21.3 Third-Party Links:

Our website and Services may contain links to third-party websites. We do not endorse or control these sites and are not responsible for their content or practices.


22. FORCE MAJEURE

We are not liable for failure to perform due to circumstances beyond our reasonable control, including:

Natural disasters

War, terrorism, civil unrest

Government actions or regulations

Internet or telecommunications failures

Pandemics or public health emergencies

Labor disputes or strikes

Third-party platform failures (GHL, WhatsApp, Google)

During force majeure events, our obligations are suspended until the event concludes.


23. ASSIGNMENT

23.1 By You:

You may not assign or transfer your account or these Terms without our written consent.

23.2 By Us:

We may assign these Terms or transfer our business to a successor entity. You will be notified of any such transfer.


24. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and System Setter regarding the Services and supersede all prior agreements, communications, and understandings.


25. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.


26. WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.


27. NOTICES

27.1 To You:

We will send notices to the email address on file in your account. You must keep your email current.

28. RELATIONSHIP

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and System Setter. You are an independent business using our Services.

The following sections survive termination: Intellectual Property, Limitation of Liability, Indemnification, Confidentiality, Dispute Resolution, and any provisions that by their nature should survive.
